Job Description

Provides legal and counsel to Keysight entities, managers and employees to resolve or prevent problems or disputes and to protect Keysight assets, technology and design freedom. Represents Keysight in litigation and audits, before government agencies and in negotiations. Coordinates legal matters handled by outside counsel. Responsibilities include involvement in general corporate matters, corporate organization, securities compliance, drafting transaction documents, license agreements, employment law, immigration law, regulatory matters, risk management, patents, trademarks, copyrights, trade secrets and other intellectual property matters. Disciplines:

  • Patent Attorney: Develops and maintains company patent applications, trade secrets, licensing and research agreements, publications, and intellectual property aspects of contracts, agreements and disputes, including litigation. Prepares legal opinions and analysis of patents; reviews and drafts significant corporate legal documents. May handle trademark or copyright matters.
  • M&A/Securities Attorney: Advises senior management on deal structure and issues in strategic M&A and corporate finance activities globally, including acquisitions, divestitures, corporate reorganizations, JVs, equity investments and financings. Prepares/negotiates complex contracts & leads multi-functional teams. Obtains U.S./international securities & antitrust approvals. Prepares U.S./international securities law filings. Advises and prepares opinions on corporate law matters.
  • Tax Attorney: Implements strategies to reduce the effective tax rate to minimize cash taxes paid and repatriate cash to the US. Responsible for tax aspects of acquisitions and divestitures, including legal structuring and integration and intercompany agreements necessary to effectuate transfer pricing policy consistent with Keysight's business model. Reviews and drafts significant corporate tax legal documents.
  • In addition to Counsel responsibilities, independently handles the resolution of complex legal matters impacting a business, country or region
  • May provide legal direction for other attorneys and manage support staff
  • Consults and provides strategic direction on large projects that affect the company's long-term goals and objectives

Job Qualifications

Education & Experience

  • Engineering degree in electronics, computer science, physics or communication systems
  • Legal qualification with a focus on intellectual property
  • 8 - 10 years of experience with IP/Technology Transactions on both buy-side and sell side of business operations, and as well as support for internal Keysight functions.

 

Knowledge, Skills & Abilities

  • Keen interest in intellectual property that relates to technology/software development, preferably in the field of test and measurement.
  • The ability to negotiate complex, sensitive legal issues with Keysight business leaders and other related internal functions parties.
  • Ability to work well under pressure, and convey a positive, can-do attitude.
  • Must be responsive, a self-starter, able to work independently with a proactive working style, and prepared to escalate matters early to ensure timely decision making.
  • Excellent verbal and written communication skills in English, additionally Chinese would be an advantage.
